Upon full payment, clients will receive ownership rights to custom-developed solutions as specified in the project agreement. Funter retains rights to underlying frameworks, tools, and methodologies used in development.

Some solutions may incorporate third-party components subject to their respective licenses. Clients are responsible for compliance with such licenses.

7. Confidentiality

Funter respects the confidentiality of client information and will not disclose confidential information to third parties without express consent, except as required by law.

Both parties agree to maintain confidentiality regarding proprietary information, business strategies, and technical details shared during the course of the business relationship.

8. Warranties and Disclaimers

8.1 Service Warranty

Funter warrants that our services will be performed with professional skill and care. We will correct any material defects in our work at no additional charge within the warranty period specified in your project agreement.

Except as expressly stated, our services are provided "as is" without warranties of any kind. We disclaim:

9. Limitation of Liability

Funter's total liability for any claims related to our services shall not exceed the total amount paid by the client for the specific project giving rise to such claims.

In no event shall Funter be liable for indirect, incidental, special, or consequential damages, including lost profits or business interruption, regardless of the theory of liability.

10. Force Majeure

Funter shall not be liable for delays or failures in performance caused by circumstances beyond our reasonable control, including natural disasters, government actions, pandemics, or other force majeure events.

11. Termination

11.1 Termination by Client

Clients may terminate services with written notice. Termination fees and conditions will be as specified in the project agreement. Clients remain responsible for payment of work completed prior to termination.

11.2 Termination by Funter

Funter may terminate services for breach of contract, non-payment, or other material violations of these Terms with appropriate notice.

12. Privacy and Data Protection

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Ahmedabad, Gujarat.

14. Dispute Resolution

In the event of any dispute, both parties agree to first attempt resolution through good faith negotiation. If unsuccessful, disputes may be resolved through mediation or arbitration as mutually agreed.
